We may also take such measures when we deem that a customer has violated the contents or purpose of this agreement, or has acted in an inappropriate manner in light of the spirit of this agreement. The Company may take such measures at its own discretion, regardless of whether or not the customer is responsible for the inappropriate action or other conduct. Please be advised that the Company will not be able to give you any answer as to why the Company has taken such measures, regardless of the reason.

In the event that the Company is found to be liable in default or tort for damages caused by its negligence (excluding gross negligence), the Company shall be liable for damages only to the extent of damages that would ordinarily arise (excluding lost profits and other damages caused by special circumstances). However, if such damages are caused by our willful misconduct or tortious behavior, we shall be liable only to the extent of the damages that would ordinarily arise. However, this shall not apply if such damages are caused by our willful misconduct or gross negligence.

Article 14 Indemnification for Damages

In the event that a contract between a customer and the Company concerning use of the Site does not fall under the category of a consumer contract as defined in the Consumer Contract Act, the Company shall not be liable for any damages incurred by the customer or a third party arising from use of the Site, unless such damages are caused by the intentional act or gross negligence of the Company. Article 15 Governing Law; Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of Japan, and the Tokyo District Court shall have exclusive jurisdiction in the first instance over any litigation arising out of or relating to these Terms of Use.

Article 16 Modification of these Terms of Use

1. The Company may modify the Terms and Conditions, and the modified Terms and Conditions shall become effective on the effective date determined at the discretion of the Company.
